Affiliate Program Agreement

1. Introduction and Acceptance
This Affiliate Program Agreement ("Agreement") is entered into between Scripts Viral ("Company," "we," "us," or "our") and you ("Affiliate," "you," or "your"). By applying to or participating in the Scripts Viral Affiliate Program ("Program"), you agree to be bound by this Agreement.
This Agreement is supplemental to and incorporates by reference our Terms of Service and Privacy Policy. In the event of any conflict between this Agreement and the Terms of Service, this Agreement shall govern with respect to the Affiliate Program.
2. Program Enrollment
2.1 Application and Approval
To become an Affiliate, you must complete our application process. We reserve the right to accept or reject any application at our sole discretion without providing a reason. Factors we may consider include but are not limited to:
- Quality and nature of your content and platform
- Size and engagement of your audience
- Relevance to our target market
- Compliance history with other affiliate programs
- Geographic location and applicable laws
2.2 Eligibility Requirements
To be eligible for the Program, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have an active Scripts Viral account in good standing
- Own or have authorization to use the platforms where you will promote
- Have a valid PayPal account for receiving payments
- Not be located in a jurisdiction where participation would be prohibited
- Provide accurate and complete information in your application
3. Commission Structure
3.1 Commission Rate
Affiliates earn a commission of 25% (twenty-five percent) of the net revenue from each Qualified Sale generated through their unique affiliate link or code. "Net revenue" means the amount actually received by Scripts Viral after deducting refunds, chargebacks, taxes, payment processing fees, and discounts.
3.2 Recurring Commissions
Commissions are recurring, meaning you will continue to earn 25% of net revenue for as long as the referred customer maintains an active paid subscription. Commissions cease when:
- The referred customer cancels their subscription
- The referred customer's account is terminated
- The referred customer fails to maintain payment
- This Agreement is terminated
- The Program is discontinued
3.3 Qualified Sales
A "Qualified Sale" is a new customer acquisition that meets all of the following criteria:
- The customer clicked your affiliate link or used your affiliate code
- The customer completed a paid subscription purchase within 30 days of clicking
- The customer was not previously a paid subscriber of Scripts Viral
- The sale was not generated through prohibited methods
- The customer maintains their subscription past any refund period
- The sale is not reversed, refunded, or charged back
3.4 Commission Adjustments
We reserve the right to adjust, withhold, or reverse commissions in cases of fraud, refunds, chargebacks, duplicate accounts, self-referrals, or violations of this Agreement. We may also modify commission rates with 30 days' notice to existing Affiliates.
4. Payment Terms
4.1 Payment Method
All commission payments are made via PayPal. You are responsible for maintaining a valid PayPal account and providing accurate payment information. We are not responsible for payments sent to incorrect accounts due to inaccurate information provided by you.
4.2 Payment Schedule
Commissions are paid on a monthly basis, typically within the first 15 days of the following month. For example, commissions earned in January would be paid by February 15th.
4.3 Minimum Payout Threshold
The minimum payout threshold is $100 USD. If your earned commissions do not meet this threshold, they will roll over to the next payment period until the threshold is met. Upon termination of this Agreement, we will pay out any remaining balance above $25 USD within 60 days.
4.4 Taxes
You are solely responsible for all taxes associated with your participation in the Program. Commission payments are made gross of any withholding taxes unless required by law. For US-based Affiliates earning more than $600 annually, we may require a W-9 form. Non-US Affiliates may be required to provide a W-8BEN form. We may be required to report your earnings to relevant tax authorities.
4.5 Currency
All commissions are calculated and paid in US Dollars (USD). Any currency conversion fees charged by PayPal or your bank are your responsibility.
5. Promotional Guidelines
5.1 Permitted Promotional Methods
You may promote Scripts Viral through:
- Organic social media posts on platforms you own or manage
- Blog posts, articles, and written content on your websites
- YouTube videos, TikTok videos, and other video content
- Podcasts and audio content
- Email marketing to your own opted-in subscribers
- Online courses and educational content
5.2 Prohibited Promotional Methods
The following promotional methods are strictly prohibited:
- Paid advertising using Scripts Viral's brand name, trademarks, or variations in ad copy, keywords, or display URLs without prior written approval
- Cookie stuffing or any method of placing tracking cookies without user knowledge
- Spam of any kind, including unsolicited emails, messages, or comments
- Incentivized clicks or sign-ups (paying users to click links or sign up)
- Typosquatting or purchasing domains that mimic Scripts Viral
- False or misleading claims about Scripts Viral's features, pricing, or results
- Negative advertising against competitors in a defamatory manner
- Pop-ups, pop-unders, or exit-intent overlays on third-party sites
- Software installations such as toolbars or browser extensions
- Self-referrals or referring yourself, family members, or entities you control
- Purchasing through your own link to earn commissions
- Any method that violates applicable laws or third-party platform terms
5.3 Content Guidelines
All promotional content must:
- Be truthful and not misleading about Scripts Viral or its capabilities
- Not make income claims or guarantees of specific results
- Not disparage Scripts Viral, our employees, or other affiliates
- Comply with all applicable advertising laws and regulations
- Comply with platform-specific guidelines (TikTok, YouTube, Instagram, etc.)
- Not contain adult, violent, discriminatory, or illegal content
6. FTC and Disclosure Requirements
You must comply with all applicable laws regarding disclosure of material connections. This includes, but is not limited to, the U.S. Federal Trade Commission (FTC) guidelines.
6.1 Required Disclosures
Every piece of content that promotes Scripts Viral or contains your affiliate link must include a clear and conspicuous disclosure that you may earn a commission. Examples of acceptable disclosures include:
- "This post contains affiliate links. I may earn a commission if you sign up."
- "#ad #affiliate" in social media posts
- "Sponsored" or "Paid partnership" labels where available
- Verbal disclosure in video content before promoting
6.2 Disclosure Placement
Disclosures must be:
- Clear and prominent, not hidden in fine print
- Close to the affiliate link or promotional claim
- In the same language as the promotional content
- Visible before the user would click on an affiliate link
- Present in both the video and description for video content
7. Intellectual Property
7.1 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to use Scripts Viral's name, logo, and approved marketing materials solely for the purpose of promoting Scripts Viral in accordance with this Agreement. This license terminates immediately upon termination of this Agreement.
7.2 Restrictions
You may not:
- Modify, alter, or create derivative works of our trademarks or materials
- Use our trademarks in a way that suggests endorsement or partnership beyond the affiliate relationship
- Register any domain names, social media handles, or trademarks containing "Scripts Viral" or confusingly similar terms
- Use our materials in any way that could disparage or harm our reputation
7.3 Ownership
All intellectual property rights in Scripts Viral, including our name, logo, website, software, and content, remain our exclusive property. Nothing in this Agreement transfers any ownership rights to you.
8. Confidentiality
During your participation in the Program, you may receive confidential information, including but not limited to commission rates, conversion data, promotional strategies, and business plans. You agree to:
- Keep all confidential information strictly confidential
- Not disclose confidential information to any third party
- Use confidential information only for purposes of participating in the Program
- Return or destroy confidential information upon termination
9. Term and Termination
9.1 Term
This Agreement begins upon your acceptance into the Program and continues until terminated by either party.
9.2 Termination by You
You may terminate this Agreement at any time by providing written notice to us via email or through your affiliate dashboard. Termination will be effective immediately upon receipt of notice.
9.3 Termination by Us
We may terminate this Agreement at any time, with or without cause, with or without notice. We may immediately terminate your participation if we believe you have:
- Violated any provision of this Agreement
- Engaged in fraudulent or deceptive practices
- Damaged our reputation or brand
- Violated any applicable laws or regulations
- Provided false information in your application
9.4 Effects of Termination
Upon termination:
- All rights granted to you under this Agreement will immediately cease
- You must immediately stop using our trademarks and marketing materials
- You must remove all affiliate links from your platforms
- Pending commissions above the minimum threshold will be paid within 60 days, subject to verification
- We may withhold final payment for 90 days to account for potential refunds or chargebacks
- You forfeit any unpaid commissions if terminated for cause
10. Representations and Warranties
You represent and warrant that:
- You have the legal capacity to enter into this Agreement
- All information provided in your application is true and accurate
- You will comply with all applicable laws and regulations
- Your promotional activities will not violate any third-party rights
- You are not currently suspended or banned from any affiliate networks for fraud or violations
- You will maintain accurate records of your promotional activities
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRIPT STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR PARTICIPATION IN THE PROGRAM.
OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $1,000 USD, WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify, defend, and hold harmless Scripts Viral and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of this Agreement; (b) your promotional activities; (c) your violation of any applicable laws or regulations; (d) your violation of any third-party rights; or (e) any claims by referred customers arising from your promotional content.
13. Independent Contractor
You are an independent contractor and not an employee, partner, or joint venturer of Scripts Viral. Nothing in this Agreement creates an employment, agency, or partnership relationship. You have no authority to bind Scripts Viral or make commitments on our behalf. You are solely responsible for your own taxes, insurance, and business expenses.
14. Modifications
We reserve the right to modify this Agreement at any time. We will notify you of material changes by email or through your affiliate dashboard at least 30 days before they take effect. Your continued participation in the Program after the effective date of any modifications constitutes acceptance of the modified Agreement. If you do not agree to the modifications, you must terminate your participation before the effective date.
15. Dispute Resolution
15.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
15.2 Arbitration
Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.
15.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.
16. General Provisions
16.1 Entire Agreement
This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Scripts Viral regarding the Affiliate Program.
16.2 Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer this Agreement or any rights hereunder without our prior written consent. We may assign this Agreement without restriction.
